Key Responsibilities

The Applied Law Department environment is fast paced, challenging, collegial and collaborative. This Director level commercial attorney role will provide legal support and direction to various product groups at Applied, with a focus on the Automation Products Group (factory automation software) and FabVantage (fab consulting services).

Key Responsibilities:

* Engage and provide legal support and direction to executive management regarding automation and technology focused aftermarket business. * Directly negotiate or oversee the negotiation, structuring, and management of contractual documents that establish business relationships with customer and third parties. * Support and navigate a wide range of legal issues including, but not limited to, antitrust, intellectual property (creation, management, enforcement and infringement), licensing, UCC, trade, bankruptcy, employment, application of international law, tax, EH&S, and regulatory compliance * Provide proactive and strategic legal advice to executive staff, including attending and participating in all executive staff, operational and product meetings. * Engagement with internal IP and litigation counsel to enable IP (patent, copyright, trademark and trade secret) procurement and enforcement strategies that drive meaningful impact to the business. * Manage the generation of template agreement and legal support process/cycle time improvements. * Actively advise, develop and manage copyright strategies for software and data analytic business. * Lead and contribute to the development of business processes and policies to better enable achievement of business objectives, mitigate risk, reduce inefficiencies and improve effectiveness * Collaborate and drive change management programs in a matrix managed organization * Provide training and develop programs to protect IP and accomplish business goals * Manage outside counsel and related budgets

Basic Qualifications:

* Juris Doctorate (JD) from accredited and recognized law school * +5 years of legal experience with a focus in the following areas: * Technology transactions - including sale of products and services, demos and evaluations, collaboration and development, etc. * Software Licensing and other aspects of a software focused business * Leadership and team building * Patent, copyright (software), trade secrets and trademarks * Strong written and verbal communication skills necessary to support a global business * Analytical skills * Ability to analyze and summarize large amounts of data in relatively short periods * Ability to manage and motivate * Ability to travel internationally on a moment's notice * Agreements involving IP provisions, including JDAs and research agreements * Also beneficial would be experience in: * Good understanding of IP law in Asian countries, including China and Korea * Strategies for protecting parts and subcomponents * Commercial transactions

* Excellent negotiation skills including first-hand experience of leading negotiations with parties across multiple jurisdictions * Work experience in law firm and/or in-house legal departments of multinational corporations * Excellent collaboration and communication skills

Preferred Qualifications, Skills and Attributes:

* Strong intellectual capacity and high personal standards of excellence * Strong business and technology acumen; capacity to learn the business and technology quickly * Understand how to translate business needs into contract language and creatively resolve business issues * Passionate, proactive, highly motivated self-starter * Pharma experience a plus * Government contracts experience (FAR/DEAR/DFAR) a plus * Ability to work independently on a wide variety of tasks and drive results * Ability to prioritize and handle multiple competing tasks/projects at the same time * Excellent organizational skills, including attention to detail and ability to create specific action plans based on general guidance and deliver results * Ability to see the big picture and identify and design-out problems from the outset; continuous improvement mindset * Strong customer focus, both internal and external * Ability to work collaboratively across organizational boundaries, and with a diverse group of colleagues and internal clients in multiple countries * Ability to lead and ability to perform as part of a team * Flexible, personable and enjoys a dynamic corporate culture * Very good sense of humor
